1. Overview

These Terms of Service govern your access to and use of VertrAI websites, agent marketplace pages, subscriptions, invite-code activations, hosted agent runtimes, and related support services (collectively, the "Service"). By creating an account, activating an agent, starting a subscription, or using the Service, you agree to these terms.

2. Accounts and authorized users

You must provide accurate account information and keep your sign-in credentials secure. If you use the Service on behalf of a company or organization, you represent that you have authority to bind that organization to these terms. You are responsible for all activity under your account and for ensuring that your users follow these terms.

3. Agent marketplace and availability

VertrAI provides role-specific AI agents that may help with workflows such as account operations, customer support, content drafting, monitoring, summarization, and handoff preparation. Some agents may be available through paid monthly subscriptions, and some may be available through free invitation-code trials. We may add, modify, suspend, or discontinue agents or features as the Service evolves.

4. Subscriptions and billing

Paid agent seats are recurring monthly subscriptions billed in U.S. dollars unless a checkout page states otherwise. Your payment method is charged at the start of each billing cycle until you cancel. Taxes may apply depending on your location and Stripe's tax calculation settings. Payments are processed by Stripe; VertrAI does not store full card numbers, CVC values, or complete payment credentials.

5. Free invitation-code activations

Invitation-code activations are promotional or trial access grants. They do not require payment and do not automatically convert into a paid subscription unless you separately confirm a paid checkout. Invitation codes may be limited by product, account, duration, quantity, or campaign, and may be revoked if they are misused or obtained without authorization.

6. Cancellation

You may cancel a paid subscription through the Stripe Customer Portal or by contacting us. Cancellation stops future renewal charges. Unless otherwise required by law or expressly stated during checkout, access remains available until the end of the current paid billing period.

7. Refunds

Refunds and cancellation requests are governed by our Cancellation and Refund Policy.

8. AI output and user responsibility

AI-generated content, recommendations, summaries, and suggested actions may be incomplete, inaccurate, or unsuitable for your specific circumstances. You are responsible for reviewing outputs, instructions, account actions, and published content before relying on them or authorizing them. The Service is not a substitute for professional legal, financial, medical, security, or compliance advice.

9. X Agent and third-party browser services

X Agent is an independent VertrAI agent service and is not affiliated with, endorsed by, or operated by X. To perform tasks involving an X account, X Agent may use remote browser infrastructure provided by a third-party service. Your X login session, cookies, local storage, browser state, and related account operations may be processed in that remote browser environment under the provider's own terms and privacy practices. You remain responsible for your X account, content, instructions, and compliance with X rules.

10. Acceptable use

You may not use the Service for illegal, fraudulent, abusive, deceptive, infringing, malicious, or unauthorized activity. You may not use agents to spam, harass, impersonate others, bypass platform restrictions, collect data without permission, distribute malware, or violate third-party terms. Do not provide passwords, verification codes, recovery codes, payment details, government identifiers, or other sensitive credentials in agent instructions unless VertrAI has explicitly provided a secure workflow for that information.

11. Third-party services

The Service may interoperate with Stripe, Google, Telegram, X, Browser Use, hosting providers, analytics services, and other third-party platforms. Those services are governed by their own terms and policies. VertrAI is not responsible for third-party service outages, policy decisions, account restrictions, or data handling outside our control.

12. Service changes, suspension, and termination

We may suspend or terminate access if we believe your use creates risk, violates these terms, violates law, causes operational harm, or could expose VertrAI, users, or third parties to liability. You may stop using the Service at any time. Sections that by their nature should survive termination will continue to apply.

13. Disclaimers and limitation of liability

The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, VertrAI disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. To the maximum extent permitted by law, VertrAI will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunities.
